Please read these Terms of Service ("Terms") carefully before using services provided by Maxwill Media Group ("we", "us", or "our").

1. Acceptance of Terms

By engaging our services, you agree to be bound by these Terms. If you disagree with any part of the terms, please do not use our services.

2. Services We Provide

Maxwill Media Group offers the following services:

• Software Development: Web applications, backend systems, APIs, CRM systems
• Bot Development: Telegram bots, AI-powered assistants, automation bots
• Infrastructure: VPN setup, self-hosted messengers, encrypted storage
• Security: Server hardening, audits, encryption, incident response

Specific deliverables, timelines, and pricing will be outlined in a separate project agreement.

3. Project Process

Our typical engagement process:

• Discovery: We discuss your requirements and provide a proposal
• Agreement: Both parties sign a project agreement with scope and payment terms
• Development: We build with regular progress updates
• Delivery: Final delivery and handover upon completion and payment
• Support: Post-delivery support as agreed

4. Payment Terms

Payment terms are specified in individual project agreements. General terms:

• Payment schedules are agreed upon before project start
• We accept bank transfer, cryptocurrency, and other agreed methods
• Late payments may result in project suspension
• All prices are exclusive of applicable taxes unless stated otherwise

5. Intellectual Property

Clear ownership terms:

• Your Content: You retain all rights to your pre-existing materials
• Deliverables: Upon full payment, you own all custom code and assets created for your project
• Our Tools: We retain rights to our pre-existing frameworks, libraries, and methodologies
• Open Source: Any open-source components used remain under their respective licenses

6. Code Ownership & Source Access

We believe in full transparency:

• You receive complete source code upon project completion and payment
• No vendor lock-in — you can continue development with any team
• Documentation is provided for all custom code
• We can provide private Git repository access during development

7. Confidentiality

We treat all client information as confidential:

• Project details are not disclosed to third parties
• We use encrypted communication channels
• NDAs are available upon request
• Employee access is strictly controlled

8. Warranties & Support

Our commitment to quality:

• Bug Fixes: Free fixes for bugs discovered within 30 days of delivery
• No Malware: We guarantee code is free from intentional malicious components
• As-Is Basis: Services are provided "as-is" beyond explicit warranties
• Extended Support: Available under separate support agreements

9. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the amount paid for the specific service
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for losses due to third-party services or client modifications

10. Prohibited Uses

We reserve the right to decline projects for:

• Illegal activities or purposes
• Malware, spyware, or phishing
• Harassment or hate speech platforms
• Child exploitation content
• Fraud or financial crimes

11. Termination

Either party may terminate the engagement:

• With 14 days written notice for ongoing projects
• Immediately for material breach of these terms
• Payment is due for all work completed up to termination
• Client receives all completed deliverables upon final payment

12. Dispute Resolution

In case of disputes:

• We first attempt amicable resolution through direct communication
• If unresolved, disputes may be submitted to mediation
• Governing law will be specified in the project agreement

13. Changes to Terms

We may update these Terms periodically. Changes will be posted on this page with an updated "Last updated" date. Continued use of services constitutes acceptance of modified terms.
